Terms of use Drop Mobility BV (“Drop Mobility”)

These are Drop Mobility's Terms of Use for the campus e-bike at ASML (“campus e-bike(s)”). Prior to making use of the campus e-bikes you have to agree to these Terms of Use. Please read these Terms of Use carefully before using Drop Mobility's Services as they contain the instructions and rules on how you should make use of the campus e-bikes.

With these Terms of Use Drop Mobility wishes to ensure that the services for which the campus e-bikes are intended can be offered to you and your colleagues not only now, but also in the future. For questions please contact asml@campusebike.com.

In agreement with ASML, Drop Mobility may amend these Terms of Use unilaterally. You’ll be notified about such an amendment 30 days beforehand. If you do not agree with the amendment, you can simply stop making use of the campus e-bike. You can always re-read the most recent version of the Terms of Use at https://dropmobility.nl/term-of-use-campus-ebike.

Who are we?
We are Drop Mobility B.V. (chamber of commerce number 75634953). Our office can be found at the Nijverheidsweg 9A, 5061 KK Oisterwijk, Netherlands.

Campus e-bikes
ASML wishes to make the free use of campus e-bikes available to its employees. The campus e-bikes are available at 15 campus e-bike hubs. Important: the campus e-bikes may be used as an alternative for public transport going from Eindhoven Central station to ASML and vice versa. And they may be used to move between ASML buildings.
If “you” are an employee of ASML who wishes to make use of a campus e-bike, please follow these steps:

Step 1: Download Drop Mobility Business App (“App”)
The campus e-bikes are supplied by Drop Mobility, so you need to download the App and create a Drop Mobility ASML account in just a few quick steps:
- Go to https://dropmobility.nl/asml and create an account using your ASML email address. A confirmation email will be sent to this email address.
- Download the App in the ASML Playstore on your smartphone.
- Activate your Drop Mobility ASML account by clicking on the link in the confirmation email. The link will open the App.
- Fill in the rest of your information, being your full name, country of origin and you’re ready to go!

Step 2: Pick up your campus e-bike!
Follow these steps to pick up your campus e-bike:
- Check the availability of the campus e-bikes in the App and then pick one up at the ASML campus e-bike hub of your choice.
- Check the campus e-bike for damages. If it is visibly broken or damaged or if important parts like the helmet or charging cable are missing, pick another campus e-bike and inform Drop Mobility: asml@campusebike.com about the issue as soon as possible.
- Scan the QR-code on your chosen campus e-bike via the ‘QR-code’ button in the App.
- Start your ride by clicking the ‘Start ride’ button in the App. The lock will open automatically.
- Disconnect the charging cable before taking the campus e-bike.

Step 3: On the road
- Ride safely and responsible.
- We advise you to use the campus e-bike helmet if provided in the e-bike bag.
- If your bike breaks down during your ride, return the campus e-bike to the nearest hub and docking station. If that is not possible, call Drop Mobility’s roadside assistance number: 085-0044232 and wait for their arrival. Do not leave the campus e-bike unattended!
- If the campus e-bike or parts thereof are damaged, are missing or were stolen, or if you are involved in an accident, follow the instructions below.
- Use the pause button in the App to pause your ride. The campus e-bike will automatically close the lock and the lights will be turned off.
- Restart your ride in the App by clicking the ‘resume ride’ button. The campus e-bike will automatically open the lock and the lights will be turned on.

Step 4: Return your campus e-bike
- Return your campus e-bike to any ASML campus e-bike hub location of your choice.
- Place the campus e-bike in the dockingstation or in the e-bike rack.
- If you place the campus e-bike in the dockingstation correctly, your ride will end automatically.
- If you place the campus e-bike in the e-bike rack, end your ride in the App by clicking the ‘end ride’ button.
- Attach the charging cable to the campus e-bike.
- After using the bike helmet, place it back in the bike bag securely.

Important rules on usage
Although the campus e-bike remains the property of Drop Mobility, when using the campus e-bike, please take care of it as if it was your own e-bike. 

Be a responsible rider and take others into consideration:
- do your best to avoid collisions and damages
- follow the applicable traffic regulations
- mind your fellow foot-, bike path and road users
- refrain from road rage
- do not keep a campus e-bike reserved all day
- do not make alterations to the campus e-bike in anyway
- only start and end a ride in one of the campus e-bike hubs (consult the App for the nearest one)
- make sure that the campus e-bike is returned into a docking station, that the charging cable is attached and that the campus e-bike is locked correctly
- return the campus e-bike in such a way that the next user can also enjoy a nice and safe trip

Be safe:
- secure your belongings in the e-bike bag/crate and be sure that you do not overload the campus e-bike
- check your campus e-bike prior to your trip. If it is visibly broken or damaged (e.g. broken light, dented battery) or if important items are missing, such as the - charging cable, refrain from using it and inform Drop Mobility as soon as possible through: asml@campusebike.com
- you are not allowed to make use of the campus e-bike when you are intoxicated or if you are unable to cycle (safely) due to medical reasons
- If the campus e-bike or parts thereof are damaged, are missing or were stolen, or if you are involved in an accident, follow the instructions below.

Be aware that the campus e-bike is solely intended for:
- usage on the ASML campus and commuting to and from the Eindhoven Central Station. You may not take the e-bicycle home or elsewhere
- normal ASML business purposes
- for ASML employees
- for 1 person
- use on paved roads and bike paths
- personal usage, meaning that you may not sell, lend or otherwise make the campus e-bike available to third parties, including your co-workers.

Instructions accidents, loss and theft
You were in an accident involving a third party:
- submit a completed and - preferably signed by both parties for agreement - European Claim Form to Drop Mobility: asml@campusebike.com
- if no European Claim Form is available, at least submit the contact details of the third party to Drop Mobility. Please, be aware that by not submitting the contact details of the third party, worst case the insurer may refuse any damages claim, possibly causing you to be liable
- make your submission, at the latest within 24 hours after the accident
- if the campus e-bike is damaged, please follow the instructions below.

You were in a single-bicycle accident not involving a third party:
- if the campus e-bike is damaged, please follow the instructions below.

The campus e-bike or parts thereof are missing or were stolen:
- report this as soon as possible to asml@campusebike.com but in any event within 24 hours from your first usage of the campus e-bike (e.g. when you clicked the “Start Ride” button in the App)
- if the missing part could give rise to further damage or a hazardous situation, such as a missing helmet or charging cable, please inform Drop immediately: 085-0044232.

In both cases:
- follow all reasonable instructions of Drop Mobility in this regard
- if required, cooperate with Drop Mobility by (assisting with) filing a report (police/insurance) and by providing the necessary information as requested by Drop.

Instructions maintenance, defects and damages
The campus e-bike or parts thereof require maintenance, are defect or damaged:
- if you notice this prior to your ride or at the end of your ride, do not use that campus e-bike.
- if your campus e-bike breaks down midway through your trip, stop cycling. If possible return the campus e-bike to the nearest hub and docking station.
- if returning the campus e-bike is not possible and/or if the defective or damaged part could give rise to further damage or a hazardous situation, such as a damaged battery, stop cycling. Do not leave the campus e-bike unattended.
inform Drop immediately: 085-0044232. Do not try to repair the campus e-bike – and especially the battery - yourself (or ask some else to repair the campus e-bike). 

In any event:
- follow all reasonable instructions of Drop Mobility in this regard
- if required, cooperate with Drop Mobility by (assisting with) filing a report (police/insurance) and by providing the necessary information as requested by Drop.

Drop Mobility:
- will from time to time inspect the campus e-bikes any damages and defects
- will at its sole discretion assess the cause of the damage or defect and if necessary arrange for repair or replacement If Drop Mobility has good reason to believe that you caused the damage or defect it will invoice ASML for such damage or defect and inform ASML of the reasons thereof.

Fines
- Drop Mobility is entitled to impose a fine in the situations defined at https://dropmobility.nl/wp-content/uploads/2024/07/Drop-Mobility-Aditional-costs-Campus-E-bike-July-2024.pdf. If Drop’s damage is higher, Drop may instead claim the damages.
- (Traffic) fines and/or other levies and/or confiscations caused by you, whilst using the campus e-bike, that are imposed on Drop Mobility, will be paid by Drop Mobility directly to the competent authority or relevant party.
- Drop Mobility will pass on these fines, damage claims and cost to ASML and inform ASML of the reasons thereof.

Blocking of account
- If you regularly use the campus e-bikes incorrectly, your account will be blocked.
- Drop Mobility also reserves the right to block your account immediately in case of a material breach of these Terms of Use, such as, but not limited to making the campus e-bike available to third parties.
- ASML will be informed of this blockage and the reason(s) thereof.

Insurance
- The campus e-bikes are covered by a liability insurance (no passenger coverage included). Within the coverage of this insurance, damage caused with the campus e-bike to third parties is insured to an amount of € 1.250.000 (one million two hundred and fifty thousand euro) per event and € 2.500.000 (two million and five hundred thousand euro) per calendar year. You and/or ASML can claim under this insurance, provided that you have complied with these Terms of Use!
- If any damage is caused by you intentionally or your gross negligence this shall not be covered by the campus e-bike liability insurance, you are liable for the damaged caused by you.
- If the damage or the loss or theft of (parts of) an campus e-bike is attributable to you, the Own Risk and any liability outside insurance coverage will be invoiced to ASML and ASML will be informed of the reasons thereof.
- Drop Mobility is also insured itself for damages caused by shortcomings attributable to Drop Mobility.

Liability Drop Mobility
- Drop Mobility is liable for damages suffered by you if these are the result of a shortcoming attributable to Drop Mobility.
- Insofar as legally permitted by law Drop Mobility's liability towards you is limited to direct damages to tangible goods, death and/or bodily harm up to the amount paid out by the insurer plus Drop’s applicable excess.
- The before said limitation does not apply in case of damages caused by Drop Mobility’s willful misconduct, unlawful intent or gross negligence.

Privacy
- Drop Mobility respects your privacy and complies to the General Data Protection Regulation (“GDPR”).
- More details on how and why we process your personal data can be found in our “Privacy Statement” https://dropmobility.nl/privacy-verklaring/.

Drop will not share your personal data with other parties, other than:
- in accordance with these Terms of Use and/or our Privacy Statement;
- where necessary for the purpose of providing you our services, such as but not limited to be able to invoice the services.

- In accordance with the GDPR you have rights, such as the right to oppose against the processing of your personal data for the purpose of direct mailing. In our Privacy Statement you can read in what ways you can make use of your rights.
